• terms and conditions of sale

    Hi we are looking at amending our terms and conditions of sale and need some legal advice from someone with contract experience - but basically what we want to say is that we will limit our liability to replacement material either in terms of the material element or credit the order and replace the parts FOC.

    it could be that one of you aleady has a clause that covers this and I can get canabilise the wording.

    The Seller's liability for any and all loss or damage from defects in the Goods or any other causeincluding without limitation any breach of the terms of the Contract and negligence shall belimited to the purchase price of the Goods in respect of which the claim arises, although the Sellermay at its option agree to replace the Goods and in no event shall the Seller be liable for any delaysin meeting specified delivery dates.

    and

    In no event will the Seller be liable for any indirect or consequential losses suffered by the Buyer,including without limitation any loss of profit, loss of sales or business, loss of agreements orcontracts, loss of or damage to goodwill or additional costs suffered by the Buyer in purchasinggoods or services similar to the Goods or Services or for any damages caused to the Buyer bydefective design or performance.

    and finally

    In no event will the Seller be liable for any (a) defects in the Goods not notified to it within sixmonths of the date of delivery of the Goods, or (b) defects in the Services not notified to it withinthree months of the date of completion of the relevant Services or part thereof.
